Distribution Agreement

This Distribution Agreement and Terms of Service (this “Agreement”) is a binding legal agreement between you and Preparedway, a PREPAREDWAY GOSPEL CONCEPTS (“Preparedway”, “our” or “us”) regarding your use of our Preparedway service to distribute your musical recordings to selected digital services and stores.
1. The Preparedway Service and Your Recordings
a. The Preparedway Service enables you to upload to our servers digital files containing audio-only musical sound recordings or audio-visual works and the underlying musical compositions, literary works, dramatic works or spoken word content embodied therein (collectively, “Recordings”) for distribution to your choice of digital stores.
b. Recordings must be musical sound recordings in single track, EP, or album configuration. Digital Stores will make your Recordings available to Customers to purchase or stream as individual tracks.
c. Audio format (Preparedway portal): uploads for distribution through Preparedway must be lossless WAV or FLAC meeting our minimum specifications (at least 16-bit depth and 44.1 kHz sample rate for WAV). MP3 and other compressed formats are not accepted for delivery preparation in the artist portal. Digital Stores or partners may apply additional technical requirements.
2. Digital Stores
a. The rights granted by you to Preparedway are non-exclusive. We undertake to provide your Recordings to Digital Stores as quickly as possible.
b. Each Digital Store will determine its pricing to its Customers, as well as format or media and other terms on which it offers recordings in its discretion.
c. Delivery of your Recordings to Digital Stores may be performed by Preparedway directly and/or through one or more distribution partners designated by Preparedway. Timing and availability on specific Digital Stores depend on Digital Store policies, technical requirements, and partner processing—not solely Preparedway's internal review timeline.
d. Your use of Preparedway's onboarding tools, dashboards, release workflows, or related services is separate from ingestion by Digital Stores or partners; Preparedway may communicate status, approvals, or next steps via the service, email, or other channels.
3. Ownership & Responsibility
Important Knowledge for Your Calling:
"Please understand that you must own or otherwise have the legal right to reproduce and distribute 100% of the recordings, musical compositions, and artwork that you intend to upload."
4. Payment & Stewardship
a. In full consideration of the rights and licenses granted, we will post to your Preparedway account 100% of any and all monies that we actually earn and receive for your Recordings—including amounts attributable to Digital Stores received directly by Preparedway and/or indirectly through Preparedway's distribution partners, where applicable.
b. You are responsible for any bank fees or other charges related to withdrawals.
c. Features of the Preparedway account used to view balances, request withdrawals, or display reporting may be introduced or updated over time; availability is subject to integration with partners and Digital Stores.
d. You agree to pay Preparedway's subscription, renewal, and other stated Service Fees when due according to Pricing or invoices.
e. Certain distribution partner(s) Preparedway relies on may keep your Recording available on participating Digital Stores even when you have not paid a Renewal on time—which differs from many distributors who automatically initiate takedowns solely for missed payments. Because Preparedway continues to incur costs attributable to your catalogue during that continuity, unpaid Service Fees do not waive your obligation to reconcile amounts Preparedway owes for ongoing partner coverage attributable to your releases.
f. After reasonable notice (and any grace period stated on Pricing), unpaid Service Fees may accumulate as Outstanding, including cumulative unpaid billing cycles plus Additional Charges communicated on Pricing or invoiced thereafter (late or arrears handling). These amounts help cover partner obligations and administration—not punitive charges beyond applicable legal limits. Basic may be offered as an annual or monthly plan as published on Pricing; the Service Fee per renewal cycle follows the plan you select at billing time. Numeric grace length and dollar amounts for the published annual Basic plan appear on Pricing under Renewal grace period & arrears as of each lapse unless stated otherwise for monthly.
g. If DSPs retain your Recording during Renewal lapses, that continuity does not forgive Outstanding Service Fees. Remedies include suspensions, lawful royalty offsets where permitted with notice, collections, catalogue removal subject to partner and store capability, and other lawful steps—detail in portal Terms.
h. Payment of Outstanding Fees and Additional Charges restores standard portal access consistent with Pricing; catalogue removal requested while sums remain Outstanding does not erase amounts owed unless Preparedway expressly waives them in writing signed by its authorized representative.
